Essential Duties and Responsibilities: Guide the structuring and formation of complex credit private funds and structured credit funds.Advise on compliance issues and distribution strategies for numerous global asset managers and sponsors.Lead in the preparation, drafting, and negotiation of fund documents and regulatory filings, aligning with federal securities laws and industry standards.Collaborate with industry specialists to stay current on regulatory changes, participating in important industry meetings and contributing to client advisories.Support clients in navigating post-establishment compliance and identify strategic opportunities for growth in structured credit and insurance solutions.Manage due diligence, documentation, and execution of complex fund transactions, including investor negotiations and project timelines.Minimum Position Qualifications: JD from a top-tier law school with a strong academic record.Active Bar Admission in Massachusetts.4–6 years of experience in complex credit fund formation and insurance solutions for private fund sponsors.Experience with private fund formation, including drafting and negotiating critical documentation like private placement memoranda and fund agreements.Familiarity with structured credit funds, rated note funds, and captive CLO equity manager originator structures.Experience managing fund raises from launch through close, including client interactions and investor negotiations.Detailed knowledge of the Investment Advisers Act, Regulation D, and related exemptions to the Investment Company Act.Previous experience in a large law firm setting.Preferred Qualifications: Strong analytical skills and the ability to work under pressure.Excellent written and verbal communication skills.Proven ability to work both independently and collaboratively in a team environment.Demonstrated leadership capabilities in managing cross-functional teams.Forward-thinking mindset with a focus on results and value delivery to clients.Skills: Expertise in the legal aspects of fund formation and management.Advanced negotiation and conflict resolution skills.Highly organized with excellent attention to detail.Adaptability to rapidly changing environments and regulations.Strong interpersonal skills for effective client consultations and team collaborations.Benefits: Competitive salary with bonus potential.Comprehensive health and wellness plans.Retirement savings and financial planning services.Generous paid time off and parental leave policies.Opportunities for professional development and continuing education.
