Overall Objectives and Purpose of the roleIn the Legal & Corporate Department, reporting to the VP, Legal & Corporate and Company Secretary, you will be in charge of corporate and legal matters within the Company.
Within the Legal & Corporate team, your main role and responsibilities will be:
- To ensure, with the Company secretary, corporate advice, activities and formalities in compliance with French and US Corporate and Stock Exchange laws & sector guidelines (AMF, SEC requirements, Middlenext or any other code the company is referring to);
- To advise and support some departments of the Company on their legal needs.
Main responsibilities and key tasksGovernance & Company SecretariatPrepare and manage corporate life of the company, with the Company secretary, with internal and external stakeholders (General Management, Finance, Investor Relations, HR, external lawyers and advisors, paralegal):financial calendar,supervisory board meetings & committee meetings (including possible attendance to some of them),Annual General Meeting,Executive Boards.Ensure Legal formalities in France and US, with the support of paralegal.ReportingCoordinate preparation of mandatory reports and legal documentation within deadlines (URD and 20F) with internal Finance, Business, IR, HR, Legal and external stakeholders (external lawyers, auditors).Ensure compliance of mandatory reporting with Stock Exchange laws in France and US, with the support of external lawyers.Draft legal documentation in particular RGE (governance report) and RG (management report).File reports in time with SEC and AMF.Equity InstrumentsAdvise management, HR and Compensation and Nomination Committee on Equity instruments definition, structuration and implementation of Equity instruments for employees and managers.Coordinating or liaising with external/internal stakeholders to follow-on.Explain and present equity instruments structure to employees and management.Support equity instruments implementation, allocation and monitoring by internal (mainly HR and Finance) and external stakeholders (banks, external advisers).Stock Market EthicsManage internal corporate processes and codes with Compliance when relevant (Code of Conduct, Ethics Charter).Liaise with external authorities (AMF, SEC) in support of the VP, Legal & Corporate.Manage legal obligations under securities laws (market abuse regulation in Europe) including by managing confidentiality lists (sensitive and inside information) in support of the VP, Legal & Corporate and CEO.Ensure compliance with black-out periods and communication on same.Assist drafting of Press Releases & communication on material information when needed.LegalParticipation in the work of legal department on negotiation and drafting various types of contracts.Advise and support the departments you are in charge on all their legal needs (example. Advise on biological samples regulations).Sensibilize/train teams on legal matters.BudgetParticipate in definition and follow-up of Legal & Corporate Affairs budget.ManagementPossible management of a junior lawyer on corporate affairs (Apprentice and/or trainee).Experience and QualificationsMaster Degree (5+) in French Corporate LawAdmitted to the French Bar and experience in a renowned law firmSecond diploma in Accounting or Business a plus3-5 years + PQE in corporate affairs in law firm and/or industryExperience in listed companies (EU and/or US)Experience in managing junior lawyers/apprenticeExperience in biotech industry a plusCompetencies, Skills and BehavioursBusiness lawCapital transactionsEquity instrumentsThe applicant must be able to read, write and speak French and EnglishStock market Ethics and Governance matters in US and French marketsTax aspects of capital transactionsAdditional Skills/ BehavioursHigh sense of confidentialityProject ManagementAbility to communicate with all levels within the company (from top management to employees) and to external actorsAbility to explain complex legal matters in a simple wayAbility to represent the Company externallyStrong team spiritNB: This job description is designed to describe a series of main tasks that may be encountered.
