Title: Legal Counsel Job Overview: Our client, a dedicated emerging investment manager with $6B in AUM, is seeking an experienced private funds attorney to cover a wide spectrum of responsibilities. Highlights: This hire will report directly to the Chief Legal Officer and work along with other members of the Legal team. Opportunity to join a team of seasoned investment professionals who have extensive experience in emerging markets. The firm integrates ESG factors into its investment process, demonstrating a commitment to responsible investing. Key Responsibilities: Client Onboarding & Fund Creation : Manage the structuring, launch, and documentation of new investment funds/products, including offering documents, partnership agreements, and side letters. Legal Advice : Provide legal counsel on the offering and operation of investment funds, managed accounts, and compliance with domestic and international securities laws. Contract Negotiation : Draft and negotiate investment advisory, sub-advisory, placement agent, and marketing agreements. Marketing & Proposals : Review and assist with marketing materials and responses to RFPs. Portfolio Investment Support : Assist with portfolio transactions (e.g., direct lending, special situations) and optimize investment structures with internal and external stakeholders. Business & Operations Support : Help with strategic initiatives, new business lines, and third-party vendor agreements. Regulatory & Compliance : Advise on regulatory developments, working with CLO, CCO, and external counsel on global investment management challenges. Qualifications: At 3-6 years' experience in the private funds or investment management practice of an AmLaw 100 law firm or in-house at a large asset management company. Ability to identify legal and business issues and communicate decision points to management effectively and clearly. Strong writing skills, including an outstanding ability to draft agreements and legal memoranda. Outstanding organizational skills, including prioritization andfollow-up; ability to manage outside counsel and internal stakeholders on complex matters. A proven ability to multi-task and work both independently and as a team player in a fast-paced environment. Detail-oriented and thoughtful
