LCG Advisors is looking for an M&A Tax Director in our Transaction Advisory Services group to assist in delivering due diligence products to their clients.
Primary Responsibilities:Serves as a primary resource for the taxation of corporate mergers, acquisitions, and restructurings, including:Taxable asset and stock transactions, purchase price allocation rules, and transaction costs.Elections under Sections 338(h)(10), 338(g), and 336(e).Tax implications for consolidated groups, including basis adjustments, NOL allocation, and intercompany transactions.Tax structuring considerations, such as Section 1202 stock dispositions and nonrecognition transactions.Limitations on NOLs and credits (e.g., Sections 382, 383, and 384).Conducts and reviews buy-side diligence and sell-side preparation, including:Analyzing the tax ramifications of asset vs. stock deals.Reviewing stock purchase agreements, asset purchase agreements, and purchase price allocations.Performing Section 382 studies and advising on tax attribute limitations.Preparing step plans for pre- and post-transaction restructurings and integrations.Drafting and reviewing technical memos and opinions on tax issues.Participates in various other engagements for clients including:280G Analysis: Conducts parachute payment analyses, evaluates golden parachute risks, and advises on mitigation strategies during M&A transactions.Sales Tax Expertise: Manages Voluntary Disclosure Agreements (VDAs) and similar sales tax remediation engagements, ensuring compliance and minimizing liabilities.Sales Tax Compliance: Reviews sales tax filings, ensuring accuracy and adherence to multi-jurisdictional regulations.Sales Tax Audit Defense: Represents clients in sales tax audits, providing support and strategies to mitigate assessments and resolve disputes.Income Tax Compliance: Reviews corporate and partnership income tax filings, ensuring accurate reporting of M&A-related tax positions.Conducts in-depth tax technical research and provides concise, actionable insights.Develops strategies to optimize tax outcomes and reduce costs for lower middle market clients.Offers alternative tax planning approaches based on prior experience and lessons learned.Supervises and mentors associates, senior associates, and managers across engagements.Provides constructive feedback and supports technical skill development within the team.Manages team workloads and ensures effective project delegation.Trains team members on software tools and advanced tax technical concepts.Serves as a Career Advisor, offering guidance on professional growth.Continuously refines processes to enhance efficiency and quality of deliverables.Qualifications & Experience:Bachelor's Degree in Accounting (required); Masters (preferred)Current CPA license (required)M&A tax transaction advisory experience (required)7-10+ years of direct work experience in M&A taxExposure to different legal entity structures (C-Corp, S-Corp, LLC, Partnerships, etc.)
