Protective Life Corporation is seeking a high-performing attorney with 5 to 12 years of experience to serve as Senior Counsel and Vice President, leading Mergers & Acquisitions, Corporate Finance and other general corporate matters. 
\n Responsibilities: As Senior Counsel and Vice President, you will play a critical legal role for Protective and serve as the lead attorney supporting Acquisitions and Corporate development, and also support Corporate Finance, and Treasury.  An attorney in this role should expect to:Serve as the primary Mergers & Acquisitions attorney, leading the negotiation, structuring, and execution of complex corporate transactions, including acquisitions, reinsurance transactions, and corporate finance transactionsDraft, review and negotiate relevant transaction documentation, including purchase agreements, merger agreements, disclosure schedules, finance agreements, debt instruments, offering documents, disclosure documents and other related transaction documentsOversee legal due diligence, including coordination of business and functional experts, and provide analysis and assessments of due diligence findingsBecome a valued and trusted strategic partner of Protective's business owners and cross-functional working teams in connection with corporate transactions and initiativesIdentify, evaluate and address complex and strategic issues of legal and commercial riskWork with and manage outside counsel supporting transactions and strategic initiativesDrive continuous improvement on all aspects of Protective's M&A and corporate finance transaction processes Qualifications: 5 to 12 years of experience as a corporate transactional lawyer with M&A experience in a law firm and/or in-house corporate setting within a large organizationExperience leading and negotiating corporate transactions, particularly mergers and acquisitions and corporate finance transactions, with industry experience preferredProficiency in structuring and drafting a wide variety of transaction documentsCurrently admitted to a state bar and in good standing
\nProtective's targeted salary range for this position is $185,000 to $225,000. Actual salaries may vary depending on factors, including but not limited to, job location, skills, and experience. The range listed is just one component of Protective's total compensation package for employees. This position also offers additional incentive opportunities [through an annual incentive based on individual and Company performance] OR [through cash compensation as part of a sales incentive plan (SIP). #LI-EH1
