It's Work That Matters. Overview ASSISTANT GENERAL COUNSEL – Contracts
Los Angeles, California (100% on-site)
Pay Range: $169,936.00-$305,760.00
Position Summary: As the Assistant General Counsel focusing on contracts, you will play a pivotal role in managing and overseeing all aspects of contract-related legal matters within CHLA. You will work closely with various departments, including Sourcing & Procurement, Legal Operations, Risk Management, Finance, Research Operations, and IT, to ensure compliance, mitigate risks, and support business objectives through effective contract negotiation and management.
Minimum Qualifications: 8+ years professional experience as either a healthcare litigation, regulatory, or transactional associate in a nationally recognized law firm, in-house counsel at a nationally recognized company or organization, or a combination thereof.
This AGC role will focus on Contracts but is expected to practice and support CHLA in multiple legal areas. Ideal candidates will demonstrate skill and knowledge in the following areas: 1. Contract Review and Negotiation: Draft, review, and negotiate a wide range of contracts, including but not limited to supplier agreements, purchase contracts, service agreements, software and cloud service agreements, marketing agreements, staffing agreements, and non-disclosure agreements.
2. Risk Management: Identify and assess potential legal risks associated with contracts and provide strategic advice to mitigate those risks.
3. Policy Development: Work with Legal Operations and Contract Management Team to develop, implement, and update contract management policies and procedures to ensure consistency and compliance with legal standards.
4. Collaboration: Work collaboratively with cross-functional teams (e.g., procurement, IT, finance, Research Operations) to facilitate contract-related discussions and ensure alignment with corporate objectives.
5. Training, Education, and Supervision: Provide training and guidance to internal stakeholders on contract law and best practices in contract management. Provide supervision and direction as necessary to outside counsel, contract administrators, and junior level attorneys on contract review, redline, and negotiation.
6. Dispute Resolution: Assist in the resolution of contract disputes, including negotiation and mediation, as necessary.
7. Legal Research: Stay current with relevant laws and regulations, especially in the healthcare, cybersecurity, and privacy fields, affecting contract law and provide timely updates to the legal team and business units.
Ideal candidates will demonstrate the following traits: 8+ years of experience in corporate law, with a focus on contract law.
Proven experience in negotiating and drafting complex contracts.
Strong understanding of commercial law and regulatory compliance.
Excellent analytical and problem-solving skills.
Exceptional communication and interpersonal skills, with the ability to work effectively with diverse teams and stakeholders.
Detail-oriented and highly organized, with the ability to manage multiple priorities and meet deadlines.
Experience in handling and negotiating contracts in the technology, healthcare, academic research, and pharmaceutical space
Familiarity with contract management software and tools.
Strong business acumen and understanding of corporate strategy.
Education/Licensure/Certifications: Juris Doctorate degree. Bar Admission in at least one US State. Excellent academic credentials.
