About the Job: Associate Attorney - Fund Formation & Investment Management We are seeking an Associate Attorney to join our esteemed Fund Formation & Investment Management Practice Group. This role is pivotal in providing high-level legal services in fund formation and investment management, serving a diverse clientele which includes general partners (GPs) and limited partners (LPs), ranging from government pension plans to private equity firms. The ideal candidate will have robust experience in structuring funds, managing complex legal and compliance matters, and contributing effectively within a dynamic team setting. This position is available in Boston, Chicago, or New York, with flexibility based on applicant location and firm needs.
Compensation: $260,000.00 - $390,000.00
Essential Duties and Responsibilities: Solid experience in fund formation and structuring, including drafting and negotiation of partnership agreements and other foundational documents. Expertise in negotiating terms with institutional investors like government pension plans, funds-of-funds, endowments, and foundations. Handling complex transactions such as secondary sales of LP fund stakes and GP-led fund restructurings. Overseeing compliance with the Investment Advisers Act and familiarity with the Securities Act related to private funds. Capable of leading and managing large-scale projects and transactions with intricate legal and regulatory frameworks. Direct engagement with partners, senior counsels, and clients to provide tailored legal solutions. Minimum Position Qualifications: JD from an ABA-approved law school. Active membership in good standing with the Massachusetts Bar, or applicable state bar based on office location. At least 3 years of relevant experience in fund formation and investment management law. Demonstrated ability to handle complex legal transactions and a strong understanding of the regulatory landscape affecting private investment funds. Proven track record of excellent document drafting and legal project management. Preferred Qualifications: Experience in dealing with international clients and cross-border transactions. Advanced negotiation skills and expertise in dealing with high-value investment agreements. Additional certifications related to financial management or compliance. Skills: Exceptional interpersonal and communication skills to navigate a team-oriented environment. Proactive and entrepreneurial approach to managing legal issues. Strong analytical skills and the ability to offer creative solutions to complex legal issues. Advanced skills in legal research, analysis, and writing. High level of professionalism and ethical integrity.
