About the role We are seeking a highly skilled Associate General Counsel, Corporate to join our legal team and provide strategic legal advice on a variety of corporate governance, equity management, and corporate development matters. The ideal candidate will have extensive experience managing corporate governance frameworks, ensuring compliance with legal and regulatory requirements, and supporting executive leadership and the Board of Directors on governance best practices. Key responsibilities include overseeing corporate recordkeeping, handling equity compensation plans, and advising on stock option plans, restricted stock units, and other equity-related matters.
This role will also work closely with the corporate development team to provide legal support for potential acquisitions and other strategic transactions. This includes conducting due diligence, drafting and negotiating transaction documents, and advising on post-transaction matters. Ideal candidates will have strong analytical skills, excellent judgment, and the ability to manage multiple complex projects in a fast-paced environment. A JD from a top-tier law school and admission to practice law are required, with at least 8 years of relevant legal experience.
What you will do Lead corporate governance and structuring initiatives globally, including legal and securities compliance, governance frameworks, and other controls, process and proceduresOversee subsidiary management, including compliance with corporate filings, international reporting requirements and assisting with intercompany transactionsOversee, draft and review Rippling's disclosure materials, including future SEC filings and international filings to ensure compliance with federal, state and foreign securities law requirementsSupport the Board of Directors and Board Committees, including serving as Committee liaison and supporting the drafting of meeting agendas, materials and minutesOversee, draft and review documentation and materials related to corporate governance requirements and compliance, including (i) drafting Board of Directors and Board Committee charters, documentation, consents, resolutions and D&O questionnaires, (ii) drafting and managing all policies and procedures relating to the corporate and organizational governance of the Rippling group, and (iii) analyzing and tracking related party transactions on a group-wide basisOversee and manage all aspects of the securities and capitalization table management, including responsibility for management of outstanding securities, as well as our global EOR equity programReview and advise internal stakeholders with respect to investor presentations, offering materials, public announcements, and other relevant communicationsDevelop and maintain relationships with internal and external stakeholders, including legal, finance, human resources, security, internal audit, risk, communications and outside counselAdvise and assist on strategic transactionsWhat you will need 8+ years of combined legal experience, including in regulated fintech or financial servicesLaw degree (J.D. or equivalent)Experience advising on corporate legal issues, including in highly regulated industriesEntrepreneurial mindset, self-starting, and comfortable working in a highly dynamic environmentExcellent drafting and written and verbal communication skills with the ability to break down complex legal jargon into easy-to-understand and practical advicePassion for efficient processesStrong analytical and problem-solving skills, project management and organizational skills, and attention to detailTeam player who work cross-functionally in a complex global organizational environmentSense of humorThe pay range for this role is:
