TVG-Medulla, LLC ("Medulla"), where our goal is to foster the growth of healthcare organizations that provide high-quality, evidence-based musculoskeletal care, is in immediate need of a senior level corporate generalist attorney focused on transactional matters.
The position will report to the General Counsel and has tremendous potential for upward professional mobility and career advancement into executive leadership.
OverviewMedulla currently provides support and services to three comprehensive chiropractic care brands: Chiro One Wellness Centers, MyoCore Personalized Pain Care, and CORE Health Centers.
As the largest privately-owned chiropractic organization in the country, with clinics under management in multiple states and a rapidly expanding footprint, Medulla provides management resources to these organizations with full-scale experienced teams of professionals and specialists including marketing, clinical operations, legal, revenue cycle, human resources, IT, real estate, and facilities maintenance.
How You Can Make a DifferenceWe are seeking a motivated, independent, business savvy corporate generalist and transactional practitioner, with a healthcare regulatory and real estate background, who will dive deeply to understand our business model and objectives.
The Associate General Counsel will be a key member and leader of Medulla's Legal Services Department, focusing on contract and lease drafting, review and negotiations, managing legal issues in day-to-day operational matters, regulatory/administrative matters, and litigation.
Additional responsibilities include providing guidance and advice on real estate and general corporate matters.
What You'll Be DoingProvide "second chair" to the General Counsel in departmental leadership as needed in the General Counsel's absence.Draft, review and negotiate real estate leasing transactions.Draft and negotiate chiropractor Employment Agreements and amendments.Review and negotiate service partner (vendor) contracts to ensure terms are reasonable and within the company's risk tolerances.Directly handle some litigation/potential litigation and administrative agency/regulatory matters.Handle new entity creations - Secretary of State entity formations, UCC-1 filings, drafting Operating Agreements, obtaining IRS FEINs.Prepare practice management agreement templates for managed companies.Assist in M & A transactions, including written legal due diligence assessments and post-closing deliverable schedule preparation, monitoring and completion.Provide advice and counsel on day-to-day operations matters at the clinical or corporate levels, including HIPAA/Privacy and other patient care issues.Support executive leadership on ad hoc projects and initiatives.What You Will Need To Be SuccessfulSelf-sufficient practitioner who proactively approaches issues considering multiple perspectives.Ability to balance legal risks with sound business judgment.Significant experience in business operational environments and proficient at managing multiple challenges.Excellent independent judgment, strong analytical skills, and attention to detail.Experience in handling real estate leasing transactions.Experience interacting at senior levels with business management and professional customers.Adept at working in a fast-paced, high-volume environment.Excellent verbal and written communication skills.Ability to handle ambiguity and manage multiple matters simultaneously.Solution-oriented; thinks outside the box.Strong ability to listen, provide perspective, and influence results.Computer proficient, including online legal research.Flexibility to work long hours as necessary based on business needs.Team attitude that no job is too big or too small.Thrives in a "roll-up your sleeves and own the outcome" environment.Education, License & Certifications, Work ExperienceLicense to practice law in the State of Illinois; licensure in other states is a plus.10 or more years of in-house and law firm practice in healthcare corporate and business operations, real estate, litigation, and vendor contracts.Experience representing clients in the healthcare industry, especially regulatory/administrative matters, is required.Knowledge of management services organizational matters is preferred.Prior exposure to private equity portfolio companies is a plus.DisclaimerAll team members agree to consistently support compliance and TVG-Medulla, LLC policies and Standards of Excellence regarding maintaining privacy and confidentiality of information, protecting assets, acting with ethics and integrity, and adhering to applicable laws and regulations.
