In that mission, Evolv is seeking a full-time Associate General Counsel (AGC), Corporate, Securities, and M&A to join our legal team, reporting to the General Counsel. In this critical role, you'll be the point person for the Company's securities compliance and corporate governance matters, while leveraging your M&A expertise to support strategic initiatives.
The Work: ResponsibilitiesCorporate Governance:Support General Counsel in overseeing corporate governance, including board and committee meeting preparation, Nasdaq compliance, and annual meeting preparation.Draft and review board materials, resolutions, and corporate policies to align with best practices.Support shareholder engagement initiatives and cash and equity incentive programs.Manage all aspects of legal entity management, including maintaining corporate records and overseeing subsidiary compliance.Securities Compliance:Partner with Director of SEC reporting on drafting and reviewing 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.Collaborate with finance and investor relations on disclosure controls, earnings calls, and investor presentations.Ensure compliance with insider trading policies and provide guidance to executives and employees.M&A Support:Provide legal support for potential mergers, acquisitions, and other strategic transactions.Contribute to due diligence, drafting, and negotiation of transaction documents.Legal Team Collaboration:Work closely with the General Counsel and other team members to align legal strategies with business goals.Assist with other corporate matters as needed, including equity management and entity maintenance.Ethics and Compliance:Act with integrity and demonstrate an unwavering commitment to compliance with the Evolv Code of Conduct and applicable laws and regulations.Required Qualifications:JD from an accredited law school and active membership in at least one U.S. state bar.8+ years of experience in securities compliance and corporate governance, with public company and/or law firm experience.Strong working knowledge of SEC regulations, Nasdaq requirements, and corporate governance best practices.M&A experience, including due diligence and drafting and reviewing transaction agreements.Exceptional organizational skills with the ability to manage multiple priorities.Preferred Qualifications:Experience bringing securities compliance and corporate governance functions in-house.Background in the technology or SaaS industries.Collaborative, solution-oriented mindset with excellent communication skills.Success in the Role: Performance OutcomesIn the first 30 days, you will:
Familiarize yourself with Evolv's corporate governance framework and securities compliance processes.Build strong relationships with the legal, finance, and investor relations teams.Conduct an in-depth review of the company's SEC filings, insider trading policies, and board practices.Within 3 months, you will:
Assume responsibility for public company reporting, ensuring compliance with SEC regulations and Nasdaq requirements.Establish a strong partnership with the finance team to optimize disclosure practices and earnings call preparations.Begin implementing enhancements to corporate governance policies and processes.By the end of the first year, you will:
Build a robust in-house securities compliance and corporate governance program, reducing reliance on external counsel.Serve as the primary legal advisor on SEC reporting, corporate governance, and shareholder engagement.Support the legal team on M&A transactions, contributing to due diligence, contract negotiation, and integration.Leadership and Team CultureYou will be joining the Legal team and reporting directly to the General Counsel. Salary RangeThe base salary range for this full-time position is $210,000 - $258,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
