Chemours is seeking a Vice President, Chief Corporate Governance and Securities Counsel; Assistant Corporate Secretary to join our Legal team.
This position will be available at the corporate headquarters in Wilmington, DE, reporting to the Senior Vice President, General Counsel & Corporate Secretary.
This position will be responsible for providing day-to-day leadership for the Office of the Corporate Secretary and serving as lead counsel to the corporate finance organization, which includes controllership and external reporting, treasury and capital markets, investor relations, financial planning and analysis, and tax.
This position is the senior lead attorney for the purposes of ensuring compliance with securities laws and related corporate governance issues, with significant interactions with executives and other key decision-makers across the company.
The ideal candidate will have broad-based experience with sophisticated legal issues in a business setting coupled with experience working in a top-tier law firm, with an emphasis on corporate and securities matters under federal securities laws, corporate governance issues, and general corporate finance and capital markets matters.
Proven experience leading teams and working within and driving results in a cross-functional/matrix organization.
The successful candidate will be a member of the Legal, Sustainability & Corporate Affairs Leadership Team as a direct report of the SVP, General Counsel & Corporate Secretary.
The responsibilities of the position include, but are not limited to, the following:

Lead the Office of the Corporate Secretary team on driving execution each year for the annual shareholders meeting, including oversight of all legal, compliance and logistics matters required in the annual meeting reporting cycle, and partnering within a broad cross-functional team.
Support the General Counsel and Corporate Secretary and Executive Management on all board governance matters, including providing subject matter expertise, research, agenda and content development, presenting to the Board on corporate governance and securities law matters, preparing minutes and maintaining the corporate records.
Provide legal, corporate and governance support for the company's subsidiary management program in partnership with finance, business and legal stakeholders globally.
Work with functional teams on US disclosure matters as lead securities counsel, including the review of earnings and other press releases, presentations, significant internal communications, and other announcements, drafting and advising on filings with the SEC (including annual and quarterly reports on Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements and Section 16 filings), and ensuring compliance with the SEC rules and regulations.
Lead counsel on all debt and equity capital markets transactions and credit facilities.
Establish and maintain a strong business partnership with the financial reporting group, investor relations, corporate and regional finance and legal teams, and other business teams to facilitate achievement of business priorities.
Develop and implement legal strategy, global best practices, templates, tools, and associated policies, and training to ensure compliance with securities laws and related regulations.
Guide business leaders on legal issues arising from securities issues and provide practical business-oriented legal solutions, including proactive counsel to avoid potential compliance issues and regulatory actions.
Ensure awareness of how US and global developments in cyber security, climate, environmental, social, and governance initiatives may affect disclosure requirements, litigation risk, and the legal group's activities and obligations, and work collaboratively to ensure compliance with these measures.
Ensure compliance with US legal, regulatory and disclosure obligations in relation to executive compensation matters.
Lead/support and advise other members of the legal team on a variety of matters such as capital and credit market transactions, corporate governance, M&A, joint ventures, strategic projects, IT, derivatives, compliance, and real estate.
The following is required for this role:

Juris Doctor and active bar license in good standing in at least one state.
15+ years of experience of relevant experience in securities law, with a focus on SEC reporting and compliance within a top-tier international law firm and/or a large public multi-national company.
Strong knowledge of SEC regulations (including the Securities Act of 1933, Securities Exchange Act of 1934, and Sarbanes-Oxley Act), corporate governance principles, and best practices.
Proven track record of successfully managing SEC filings, corporate transactions, and advising on complex securities matters.
Experience with capital and credit markets and financing agreements and familiarity with financial statements, accounting, and tax matters.
Self-motivated, flexible, and efficient working style with the ability to manage complex projects with competing priorities in a fast-paced environment.
Strategic thinking and strong business acumen.
Quality-oriented with a focus on detail and the ability to identify and resolve issues independently.
Excellent communication and interpersonal skills with the ability to translate legal issues into identifiable and understandable business risks.
Experience interacting with members at all levels of an organization, including executive officers and Board members.

Pay Range (in local currency): $227,837.00 - $355,995.00

Chemours Level: 32

Annual Bonus Target: 36%

Annual Stock Amount: 115,000.00 USD
