Marmon Medical is a global, growth-oriented Marmon business group comprised of four companies that design and manufacture specialty medical devices worldwide with annual combined revenues of more than $500M. These companies – Acumed, MicroAire Surgical Instruments, Marmon Medical Manufacturing, and ScottCare – offer technology and products used to help improve patient care and outcomes. They provide highly engineered implants such as plates and screws, and related precision tools primarily for orthopedic surgery of the upper and lower extremities. Together, they employ more than 1,300 people at locations in the U.S., China, the U.K., and Spain.
As a result of its continued growth, Marmon Medical is now seeking to add a Contracts Counsel with strong contract negotiation, organizational, and analytical skills and keen business acumen to join its client-focused law department.
The Position The Contracts Counsel will report to the General Counsel of Marmon Medical and will be tasked with drafting, reviewing, and negotiating the agreements arising out of Marmon Medical's operations. The Contracts Counsel will be an energetic, talented commercial lawyer with strong negotiating skills and pragmatic business sense who will collaborate with management and the businesses. Specific legal experience in the medical device industry is a plus, as is a strong understanding of compliance and regulations governing the industry. The position will be full-time and will have the flexibility to be hybrid – a combination of time in one of Marmon's Chicagoland offices, working remotely, and periodically traveling as needed.
Responsibilities Draft, review, and negotiate a wide range of commercial agreements supporting the operations of Marmon Medical, including key topic areas such as sales, manufacturing and supply, technology-related, license, professional services, NDAs, etc. Engage with external counsel as required, as well as group and business unit stakeholders, regarding material commercial contract reviews and negotiations; provide guidance to leadership regarding same. Develop and refine templates, policies, procedures, and related material for the legal team and business partners to standardize and improve contract review process. Serve as a key business and legal partner by virtue of technical competence, excellent business judgment, and ability to develop relationships throughout the organization. Demonstrate in-depth understanding of business operations and objectives to assess risk and bring together cross-functional teams to ensure business alignment. Collaborate with and provide actionable advice and creative solutions to business partners on a range of business and strategic issues. Identify software and other tools to advance efficiency; play a key role in vendor management and digital transformation initiatives. Collaborate with Marmon Medical's General Counsel, Marmon Medical's Chief Compliance Officer, management, and the business units to ensure compliance with Marmon's ethics and compliance policies. Support the business units in promoting Marmon's Supplier Code of Conduct and oversee related vendor assessments related to the risk of unethical conduct such as forced labor and human trafficking. Qualifications J.D. from an accredited law school, with proven academic success. Relevant commercial law experience negotiating sophisticated multinational agreements in house and/or with a law firm. Strong knowledge of laws and regulations related to global manufacturing, sales, and distribution; experience with medical device manufacturing is a plus. A high degree of self-motivation with strong attention to detail, superior organizational and analytical skills, and exceptional reliability in task completion. Proven ability to drive sophisticated global transactions and initiatives to completion in a fast-paced and entrepreneurial setting. Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels. Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility. Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts and risk assessments to a lay audience. Ability to thoughtfully contribute and become a trusted member of Marmon's growing Legal team. Proven success in effectively managing, organizing, and completing multiple tasks and priorities. License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois.
