Corporate Counsel - Full Time - Days - HybridThe Corporate Counsel for Mohawk Valley Health System (MVHS) provides direction, guidance, and assistance on legal matters related to MVHS and its affiliates, entities, and staff within specific areas of expertise including, but not limited to, taxation, long term care, health networks, acquisitions/divestitures, physician contracts, employment/regulatory/compliance, and general corporate healthcare law. Serves as an experienced legal specialist who is responsible for significant portions of the organization's legal work and regularly interfaces with key stakeholders on legal problems/issues.
Core Job ResponsibilitiesAssists, advises, and makes recommendations on the full scope of legal matters affecting MVHS and its affiliated hospitals and other corporations.Understands and/or researches issues in the legal and business context in which they arise, seeks out information and colleagues to assist such understanding, and responds to issues promptly, clearly, thoughtfully, and objectively.Strives to maintain an awareness of the activities of the Health System, its constituent hospitals, and corporations, in order to provide comprehensive up-to-date legal advice.Identifies areas which could benefit from proactive action by corporate and hospital staff in order to minimize liability and other risks. Works with staff to develop programs, policies, and procedures.Works closely and cooperatively with other members of the Legal Department, MVHS staff, and outside professionals in formulating analyses, advice, and recommendations and conveys recommendations in a clear and analytical manner.Assists in making recommendations on risk management practices and potential malpractice and other liability issues. Coordinates these recommendations with the Risk Management and Quality Management departments.May act as a liaison with outside professionals or outside legal counsel to interpret business and legal contexts.Participates in the development and implementation of corporate compliance efforts.Assists with responses to investigations from outside regulatory agencies.Prepares, reviews, analyzes, and negotiates contractual arrangements entered into by MVHS including computer software license agreements, equipment purchase agreements, real estate agreements, physician employment agreements, managed care agreements, financing agreements, sale and acquisition agreements, affiliation and services agreements, research and licensing agreements.Assesses, advises, and makes recommendations on the nature and risks of proposed and existing contractual arrangements.Advises and instructs staff on the review and analysis of agreements for business and legal issues.Prepares model agreements and forms for use by non-legal staff in order to expedite the conduct of business.Provides advice regarding the structure of affiliation arrangements within MVHS in order to best protect and document the interests of MVHS.Assists in identifying potential private inurement issues and other matters which may affect the tax-exempt status of MVHS entities.Provides advice concerning the impact of laws and regulations on various healthcare and medical staff related issues, including issues relating to possible professional misconduct, patient complaints, advance directives, medical ethics, release of information, and confidentiality issues.Provides assistance in matters relating to labor, employment, and human rights issues.Provides advice regarding employee benefits, pension, and compensation issues.Assists physicians, on-call administrators, department chairmen, and other staff in identifying and resolving legal issues in the patient care arena.Prioritizes assisting hospital staff with prompt identification and resolution of legal issues in the patient care setting so that they are handled promptly in support of MVHS's mission for quality patient care.Identifies potential litigation exposures and works with colleagues and outside professionals.Assists in matters which are referred to outside counsel.Assists medical records and other staff in responding to subpoenas, court orders, and other requests for medical records and other information.Perform other duties as required.Education/Experience RequirementsREQUIRED: Juris Doctor degree from an accredited law school.Five years of relevant experience in a hospital setting, health care environment, or law firm, with practice primarily focused on health law related issues.Experience in the practice of corporate healthcare law, including the laws affecting tax-exempt organizations, with demonstrated legal capability covering diverse legal assignments that occasionally include legal matters of major significance.Understands the variety of laws, regulations, and case law impacting hospital and hospital system operations.Licensure/Certification RequirementsREQUIRED: Registered Attorney, licensed to practice law in New York State.DisclaimerQualified applicants will receive consideration for employment without regard to their age, race, religion, national origin, ethnicity, age, gender (including pregnancy, childbirth, et al), sexual orientation, gender identity or expression, protected veteran status, or disability.
