Who you are We are seeking an experienced Corporate Counsel to provide strategic, risk-adjusted legal counsel that aligns with our business goals. The ideal candidate will have a strong corporate law background, focusing on the SaaS and telemedicine industries. You possess a deep understanding of regulatory compliance, contract negotiation, intellectual property, and risk management.

What you'll do Risk-Adjusted Legal Counsel: Provide practical and strategic legal advice that balances risk and business objectives, ensuring compliance with applicable laws and regulations.
Contract Management: Oversee the drafting, review, and negotiation of a wide range of contracts, including SaaS agreements, vendor contracts, partnership agreements, and NDAs.
Regulatory Compliance: Ensure the company's operations comply with relevant healthcare regulations, including HIPAA, GDPR, and other global data protection laws. Monitor changes in the legal landscape and advise on implications for the business.
Intellectual Property: Manage and protect the company's intellectual property portfolio, including trademarks, patents, and copyrights. Advise on IP strategy and enforcement.
Corporate Governance: Support the company's corporate governance initiatives, including board and shareholder meetings, corporate records, and policy development.
Mergers & Acquisitions: Provide legal support for corporate transactions, including mergers, acquisitions, joint ventures, and other strategic partnerships.
Dispute Resolution: Handle pre-litigation disputes, regulatory inquiries, and litigation matters as needed, working closely with external counsel when necessary.
Business Partnership: Collaborate with cross-functional teams to align legal strategies with business objectives. Provide training and guidance to staff on legal and regulatory matters.
Legal Operations: Organize and maintain a system for maintaining and operationalizing legal documents, workflows and resources across a global remote workforce.
Your skills and experience Juris Doctor (JD) from an accredited law school and membership in good standing with a state bar.
5+ years of legal experience, with a significant portion in a corporate environment, preferably within the SaaS or telemedicine industry.
Strong knowledge of healthcare regulations, data privacy laws, and intellectual property management.
Proven ability to provide risk-adjusted legal counsel that aligns with business goals.
Excellent negotiation, drafting, and communication skills.
Ability to think innovatively and provide proactive legal solutions.
