Looking for an experienced Corporate Paralegal to join our dynamic Legal team.
Reporting to the Lead Corporate Counsel, the Corporate Paralegal will provide broad-based support to the Legal Department in the administration and support of the company's legal affairs, all in a manner that displays excellence, a high degree of attention to detail, and a service-oriented approach.
The successful candidate will have extensive corporate paralegal experience and will collaborate with key stakeholders on a wide variety of legal matters and will be responsible for providing full and substantial support to the Lead Corporate Counsel, the Corporate Counsel, and the Board of Directors.
This position functions in an extremely confidential environment with a high degree of responsibility and requires the use of discretion and independent judgment.
PRIMARY RESPONSIBILITIES:
Legal Duties - Provide support to in-house counsel, including preparation of various legal documents, confidential communications with Board of Directors and senior management.
Conduct legal and factual research under the direction and guidance of the Company's attorneys.
Preliminary drafting of various form agreements, including, Confidentiality Agreements, and Supply Agreement and General Terms and Conditions' Amendments for review by Lead Corporate Counsel and/or Corporate Counsel.
Drafting professional communications for internal and external purposes.
Interacting regularly with Company representatives, suppliers, members and other parties external to COMPANY high quality presentation materials for various meetings, requiring proficient skills in PowerPoint.
Preparing high quality presentation materials for various meetings, requiring proficient skills in PowerPoint.
Create and maintain electronic and hard copy legal documents and files.
Maintain the Legal Department Planning and Governance calendar.
Review legal documents to ensure data and accuracy.
Maintain electronic contracts repository, ensuring that critical COMPANY contracts are loaded, current and accurate, developing exception reports and resolving compliance issues, and facilitating contract execution in DocuSign.
Support litigation matters in conjunction with both inside and outside counsel, including the management of litigation holds and e-discovery support, the review and collection of documents for responsive information, and assistance with discovery and subpoena responses.
Maintenance of Intellectual Property portfolio, supporting trademark, patent and copyright filings and calendaring renewals.
Managing the third party insurance compliance vendor collection and verification process of Food & Packaging and Equipment & Facilities Suppliers, Distributors, Ocean Carriers and Premiums Agencies' insurance certificates ensuring COMPANY contractual insurance requirements are met, including coordinating vendor certificate deficiencies with each COMPANY department, following-up and verifying deficiencies resolved and vendors compliant, and coordinating compliance exceptions granted by the COMPANY Risk Officer.
Manage and coordinate the annual Supplier System Contribution Disclosure reporting process with all Food & Packaging and Equipment & Facilities Suppliers and Distributors and prepare summary report of findings for presentation to the Board at the February meeting.
Scheduling of meetings and travel as required by the Lead Corporate Counsel and Corporate Counsel and assist in preparing expense reports.
Evaluate and implement measures to enhance cross-functional collaboration on legal projects and strategic initiatives.
Develop and implement reports for monitoring outside legal spending.
Pursue continuous improvement with legal operations to promote departmental efficiency.
Provide limited amount of administrative support to the Communications Department and Chief Executive Officer.
