Location: Waltham, Massachusetts or Vancouver, Washington
Primary Duties: Providing support for and advice on general corporate governance and securities law matters and projects.
Ensuring compliance with public company reporting and disclosure requirements, including review of annual, quarterly and current reports, proxy statements, registration statements, Section 16 filings, and press releases in light of Nasdaq listing and federal securities law requirements.
Preparing for the annual meeting of stockholders, including preparation and distribution of proxy materials, collection of relevant data, facilitating the annual meeting, and coordinating with other internal and external stakeholders.
Advising on and administering certain key corporate and executive policies and programs, such as the insider trading policy, equity compensation matters, and 10b5-1 plans.
Providing support for the Board of Directors and executive leadership team on governance- and shareholder-related matters, including preparation and review of agenda and materials for meetings of the Board and its committees.
Providing support in corporate transactions, including drafting and negotiation of NDAs, letters of intent, definitive agreements, and other ancillary documents in mergers and acquisitions and financial transactions.
Oversee governance and maintenance of our corporate legal entities, including:oversight of corporate governance activities, ensuring corporate record books for all global entities are well organized and up-to-date, and maintaining corporate compliance.
Working closely with outside legal counsel as needed, and with internal business partners, including senior executives and others in areas of SEC reporting, investor relations, tax, accounting, treasury, strategic finance, human resources, and security, among others.
Knowledge, Skills, and Abilities Required A Juris Doctor (J.D.)
from an ABA accredited institution is required.
Prior relevant experience in corporate governance and securities law (law firm experience is preferred), including experience implementing and maintaining public company reporting processes and procedures.
Substantive corporate transactional experience, including mergers and acquisitions or strategic financing, preferred.
Excellent judgment, attention to detail, communication (verbal and written), organizational and interpersonal skills and the ability to work collaboratively across multiple groups and functions, including at an executive and Board level.
Strong organizational and planning skills, with an ability to effectively advance multiple projects while prioritizing and meeting deadlines.
Ability to work independently but collaboratively, demonstrating good judgment and prioritization in a fast-paced, high-growth, dynamic environment.
A desire for continuous improvement and to be part of a strong, supportive team.
Ability to uphold the highest standards of ethics, discretion, and confidentiality.

Working Conditions Normal office environment.
