Job Description The Senior Counsel will handle a wide range of capital markets transactional matters, including:
Work closely with the Group Legal Head and other members of the legal team to advise on a wide range of capital markets transactions, from soup to nuts.Advise senior business partners on a wide range of equity capital markets transactions across various industries.Advise and manage equity offerings, IPOs, follow-ons, and private placements; and debt offerings (US and International).Provide guidance to internal business partners regarding compliance matters pertaining to US securities laws and regulations.Work closely with investment bankers, legal colleagues, product-specific groups, and compliance to proactively provide legal advice and serve as a true business partner.Manage external counsel to efficiently and cost-effectively execute a large volume of capital markets transactions.Assist in the management of Counsel and junior attorneys. The Successful Applicant J.D. from an accredited law schoolMember in good standing of the New York State Bar10-15 years of experience working at a top-tier law firm in combination with an in-house role at an investment bank supporting the capital markets desk (ECMs)Extensive experience within the capital markets space, primarily on the equity side, advising on transactions from start to finish, including IPOs, private placements, PIPEs, SPACs, follow-ons, etc.Experience working with internal clients and stakeholders, particularly investment bankers, product teams, compliance, and finance.Understanding of securities laws and regulationsTeam playerStrong organizational skillsManagement experience is preferred What's on Offer Competitive base salaryExcellent bonusHybrid role from NYC officeBenefitsGrowth opportunitiesManagement opportunitiesGreat team
