SCOPE: Mitsubishi Heavy Industries America, Inc. ("MHIA") is seeking a mid-level attorney to become the General Counsel of its wholly-owned subsidiary, Concentric, LLC, a dynamic business focused on (i) selling and servicing industrial power supplies and equipment, (ii) maintenance of industrial logistics equipment such as lift trucks and automated machines, and (iii) support of critical power infrastructure for telecommunications and data centers. The Concentric General Counsel will be a member of the Concentric leadership team (reporting directly to the President of Concentric and the General Counsel of MHIA), will manage two contract managers, and will oversee a host of commercial contracting and corporate governance activities, as well as strategic acquisitions, with the objective of growing the business of Concentric exponentially over the next 10 years. The Concentric General Counsel will also be part of the larger US-based legal team of MHIA and Mitsubishi Heavy Industries Ltd.
The ideal candidate will be a licensed attorney in any US jurisdiction with at least 8 years of experience in corporate and transactional law. This role may work remotely; however, special consideration will be given to candidates who can work at MHIA's Houston headquarters location. All candidates must be available to attend meetings and provide support in person as required at Concentric's offices in Dallas, Atlanta, Charlotte, and Toledo. JOB RESPONSIBILITIES Serve as a member of the Concentric leadership team, providing legal counsel as well as business advice to all Concentric executives and the board of managers;Respond promptly to all requests from Concentric, MHIA, and their affiliates, for legal assistance in all disciplines and practice areas, with a particular focus on the transactional work described above;Provide balanced legal advice that facilitates smart business transactions and adequately mitigates risk without curtailing competitiveness;Engage and manage outside counsel as necessary;Train clients regarding contracting best practices and other legal topics as requested;Remain current on laws, regulations, compliance requirements, and litigation trends in the industries where Concentric does business or may be more likely to experience claims;Report to MHIA Legal and MHI Legal regarding current developments and priorities.QUALIFICATIONS & SKILLS Education Requirement: Bachelor's degree or related degree from four-year college or university, a Juris Doctorate degree from an accredited law school.Experience: At least 8 years of demonstrated corporate and transactional legal experience, preferably in the areas of engineering, manufacturing, sales and procurement, M&A, and strategic partnerships, with a license to practice law in a US jurisdiction where Concentric does business and be in good standing.Any special skills/training/certifications: Licensed to practice law in any US jurisdiction.Knowledge: Extensive knowledge and expertise in the areas of commercial contract drafting/interpretation, strategic transactions (M&A), products liability, litigation/dispute resolution (including negligence and products liability claims), technology licensing, corporate governance, finance, warranty, and indemnity, with a working knowledge of transactional taxation, intellectual property, antitrust, post-merger/acquisition integration, import/export compliance, FCPA compliance, and insurance.Skills: Work at the speed of business to generate effective contracts that facilitate smart business transactions and adequately mitigate risk; provide prompt and thoughtful answers to legal questions with a focus on finding innovative solutions rather than just identifying issues; bridge the culture gap to effectively understand and communicate with both American and Japanese senior management at various MHI companies; confidently direct the efforts of outside counsel; establish and work within a budget; advocate successfully on behalf of clients; and demonstrate excellent judgment in determining how to prevent, address, and resolve claims and disputes of any magnitude or complexity (including preparation of all related agreements and documentation); fluent in all Microsoft Office applications (Word, Excel, PPT, etc.).Leadership: Thoughtful, proactive, charismatic personality who can manage teams, maintain an executive presence with senior officers and directors, and persuasively convince skeptical managers and employees to value and embrace best practices.WORKING CONDITIONS: Travel: 20% business travel domestically.Weekend/late night work if applicable: Occasionally.Work Environment: MHIA Corporate Counsel will work primarily within an office environment, sit at a desk, or in a conference room, and use computer, phone, and other technology, for over an hour at a time.
