Our client, a global education company, is seeking an attorney with 12+ years of sophisticated transactional experience to join its management team. This attorney will work closely with the company's leadership team and provide high-level legal counsel. This is an excellent opportunity to lead the legal function of a sophisticated and growing international company headquartered in the Phoenix metro area.
General Counsel ** Develop and implement legal strategies that align with the companys business objectives and international operations. Ensure compliance with applicable laws, regulations, and industry standards across multiple jurisdictions;Oversee and manage the drafting, negotiation, review and amendment of core contracts and agreements. Oversee the drafting, negotiation and review of other contracts including licensing agreements, patents, non-disclosure agreements, vendor contracts, employment agreements and contractor agreements;Negotiate with entities across the world and engage local outside counsel as needed. Develop and maintain strong working relationships with attorneys in various locations;Review both domestic and international tax implications arising from the company's partnerships and operations to ensure compliance with US and foreign regulatory requirements. Engage outside counsel as neededProvide guidance on corporate structure, governance issues, and regulatory compliance. Assist in efforts to raise capital. Support the Board of Directors and executive leadership on corporate governance matters; and Manage legal budgets and expenditures of outside law firms and other legal vendors. General Counsel Required * * 12+ years of corporate and commercial contract experience, a mix of law firm and in-house experience is strongly preferred;Significant international legal experience;Higher education experience is a plus;Ability to prioritize, multitask and provide timely risk management assessments;Excellent oral and written communication skills, and ability to communicate effectively with non-lawyers;Significant leadership and management experience;Sound judgment, ethical integrity and project management skills; andJD and in good standing in at least one state with the ability to waive into Arizona bar.
