Overall Job Purpose The General Counsel serves as the principal legal advisor, overseeing all legal aspects of the business, including contract management and legal dispute resolution across all operational regions. The role ensures that the company consistently operates within the law. The General Counsel also plays a key role in assessing risks and supporting executive decision-making to protect Morrison's interests. Close collaboration with the executive team and various departments is essential to ensure alignment between legal strategy and business objectives. Key Responsibilities Provide Legal Strategy and AdviceAdvise the CEO and executives on legal matters arising across regions, ensuring compliance with the latest laws.Anticipate legal issues and consider multiple factors when assessing risk to develop informed recommendations.Provide legal guidance on employment-related matters, including hiring, termination, workplace policies, and labor relations.Manage Contracts to Mitigate RisksReview, draft, and negotiate contracts, including commercial agreements, partnerships, and vendor contracts.Develop standard contracts and terms, ensuring they align with company policies.Establish and enforce contract management processes and policies.Litigation and Dispute ResolutionManage and resolve litigation and disputes, working with outside counsel as necessary.Handle and resolve insurance claim matters to protect the company's best interests.Compliance and Employment LawEstablish, interpret, communicate, monitor, and investigate compliance with Morrison's Code of Conduct and Corporate Compliance Policy.Periodically conduct in-person legal and compliance training.Collaborate with external parties, including external counsel and regulators, to optimize spending and legal outcomes.Team LeadershipLead and manage the legal team, including hiring, developing, and motivating team members to achieve high performance.Mentor and coach team members, fostering professional growth and development.Essential Job Qualifications Education/Technical SkillsMust hold an LLM or JD degree from a US institution.Admission to the bar in either Taiwan or the US is required.Familiarity with the laws of Taiwan or Mainland China is essential.Knowledge/Work ExperienceOver 10 years of proven general counsel experience in multinational corporations (MNCs).Broad legal knowledge, including corporate law, litigation, labor law, and compliance.Experience handling a wide range of legal issues, with an emphasis on commercial matters, including contract review and drafting, litigation & claims management. Broad compliance experience is strongly preferred.In-depth understanding of how legal issues affect organizations, with the ability to develop legal strategies and objectives.Key Behavioral CompetenciesStrong team management experience is a must.Strategic thinking and strong business acumen.High degree of professional ethics, integrity, and gravitas.Excellent judgment and analytical skills.Strong interpersonal and communication skills, both in English and Chinese.Ability to anticipate legal issues or risks and to "see around the corner."
