VENTURE CAPITAL COUNSEL HOUSTON, TEXAS Hawryluk Advisors has been retained exclusively by Aramco Services Company ("ASC" or "Aramco Americas"), the Houston-based wholly owned subsidiary of Saudi Aramco, the world's largest integrated oil, natural gas, and petrochemicals company, to find a 4+ year attorney with a strong background in sophisticated venture capital transactions for its Law Department in Houston, Texas.
RESPONSIBILITIES The Law Department at ASC is responsible for providing legal counsel and advisory services to Saudi Aramco's US-based business units, subsidiaries, and joint ventures.
Reporting directly to the Associate General Counsel of ASC, the Venture Capital Counsel's responsibilities will include supporting Saudi Aramco's United States-based corporate venturing subsidiaries.
This attorney will:
• Assist the company in assessing, negotiating, and acquiring equity ownership and investment positions in a variety of companies and industries located in the United States and abroad;
• Lead legal activities with respect to the development of minority VC investments, including the structuring, negotiation, and documentation of such transactions, as well as assessing due diligence and issue-spotting for compliance risks;
• Advise management and internal clients with respect to the Company's legal rights and obligations in connection with VC transactions and general corporate matters; and,
• Manage and work with outside counsel on same.
This attorney also will support ASC on a broad range of general corporate matters including drafting, reviewing, and negotiating, commercial contracts and corporate legal documents of varying complexity; advising on governance, compliance, and corporate formation; and, collaborating with executives and other cross-functional teams to provide strategic business advice.
Each attorney in the legal department of Aramco Services Company has broad responsibility and autonomy over his or her day-to-day practice.
REQUIREMENTS The successful candidate will have the following qualifications:
• At least 4 years of practice with a large law firm or company;
• Experience structuring, drafting, and negotiating venture capital transactions;
• J.D.
from an accredited U.S. law school; and,
• Licensed, admitted to practice, and in good standing in the United States.
