Under the direction of the Business Unit General Counsel, this position will have substantial involvement with the company's customers and business managers.
The job responsibilities include assisting with the review, negotiation, and drafting of contracts to ensure adequate protection and assurance that contracts are reasonable and in compliance with corporate risk standards, coordination of insurance and licensing matters, and performing contract administration and other job duties to support the Legal Department.
Essential Responsibilities:
•Review, negotiate, and draft terms and conditions for customer agreements to identify non-standard terms/conditions, flag risks and edit, when required, for compliance with internal risk control guidelines, with attorney support as required.
•Apply legal principles for various forms of agreements and document preparation, with attorney support as required.
•Review commercial purchase orders and other various contract documents including change orders.
•Administer the contract approval process and coordinate with cross-functional team members (e.g., risk management, attorneys, sales, project managers, finance, and procurement) to ensure terms and conditions reflect corporate standards and practices.
•Review, negotiate and coordinate requests for letters of credit and bank guarantees with financial institutions, business unit finance department and other company personnel.
•Assist with state and local contractor licensing applications and renewals, including research of applicable laws and regulations.
•Perform export control and sanctions due diligence and coordinate efforts with counsel as directed.
•Coordinate insurance matters with Corporate Risk Manager including claims, certificates of insurance, and annual insurance renewals.
•Provide contract administration support throughout project execution including status tracking, maintaining internal contract management system and records.
Job Requirements / Skills, Knowledge and Abilities:
•Bachelor's degree or higher.
•Minimum of 5 years of experience in contract administration involving legal issues and negotiation.
•Extensive knowledge and understanding of various commercial terms and conditions, including legal and commercial implications.
•Experience in the power generation industry and/or a working knowledge of power generation industry, manufacturing and construction industry practices and legal standards a plus.
•Must prioritize tasks and deadlines while maintaining superior attention to detail and quality.
•Able to communicate effectively by written and verbal means.
•Able to work well independently and effectively in a group setting.
•Excellent interpersonal skills, high ethical standards, strong organizational and communication skills.
•Be proactive and take ownership of job responsibilities.
•Proficient in Microsoft Word, SharePoint, and Excel applications.
•Contract database/management software experience a plus.
