The Legal Counsel Commercial & Compliance will provide expert legal guidance on contracts, commercial transactions, and regulatory compliance.
This role involves drafting, reviewing, and negotiating contracts, ensuring that all commercial agreements align with legal and organizational standards.
The successful candidate will work closely with internal stakeholders across multiple departments to manage risks, support business operations, and optimize contract performance.
Key Responsibilities: Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, service agreements, licensing agreements, non-disclosure agreements, and partnership contracts.Provide legal advice on contractual obligations, rights, and risks across multiple jurisdictions, ensuring compliance with applicable laws and regulations.Support business units in the interpretation and enforcement of contract terms and conditions.Develop and implement legal policies and procedures to standardize contract management processes.Manage contract disputes, assisting with litigation, mediation, or arbitration as necessary.Identify and advise on commercial and compliance legal risks and opportunities, providing solutions to minimize risk and maximize benefits.Ensure compliance with company policies, as well as local, state, and federal laws.Provide classroom or remote Compliance trainings, particularly in the area of anti-bribery/corruption, competition law, and trade compliance, in line with the global Compliance program and training schedule.Support Gerresheimer Group in the assessment of potential violations of our Code of Conduct or applicable laws.Work closely with procurement, finance, sales, and other business units to ensure seamless contract execution.Stay current on legal trends, particularly in commercial and contract law, and update internal policies as needed and in alignment with Gerresheimer's corporate legal department at the German-based headquarters.Qualifications: Juris Doctor (JD) degree from an accredited law school.Licensed to practice law in North Carolina.Minimum of 5 years of experience in commercial contract drafting, review, and negotiation, preferably in an in-house counsel role.In-depth knowledge of contract law and commercial legal issues, including intellectual property, liability, indemnities, and warranties.Experience with commercial dispute resolution, including mediation and arbitration.Familiarity with regulatory requirements related to commercial activities (e.g., data privacy, anti-bribery, antitrust laws).Strong understanding of business operations and the commercial objectives of an organization.Skills and Competencies: Excellent written and verbal communication skills with the ability to convey complex legal concepts in a clear and practical manner.Strong analytical and problem-solving skills, with attention to detail.Ability to work independently and manage multiple priorities in a fast-paced environment.High level of integrity, professional ethics, and discretion in handling confidential information.Proven ability to collaborate effectively across departments and with external partners.Strong negotiation and conflict resolution skills.Preferred Qualifications: Experience in specific industries such as [Insert Industry] would be a plus.Familiarity with international contracts and cross-border transactions.Project management experience in contract lifecycle management.
