Morgan Stanley at Work is seeking to hire an experienced lawyer or contracts professional to review, negotiate and advise on corporate client contracts for Stock Plan business. This position will be part of a team of lawyers and contracts professionals who support the Equity Edge Online and Shareworks Stock Plan business. This position will have significant interaction with business personnel in the EEO and Shareworks division and will work closely with lawyers in the Morgan Stanley Legal department, including risk, privacy and compliance.
The primary role of this position will support the lifecycle of business contracts related to our stock plan administration product, EEO, Shareworks, driving contracts to completion that meet the legal, compliance and risk requirements of the business. This involves careful review, excellent drafting and successful negotiation. The position may also work with our business and legal teams on other contract, process, and legal matters involving the Stock Plan business.
Key activities:
• Starting with existing contract templates, review, redline, and negotiate a wide variety of commercial agreements, including US and Canadian customer agreements, NDAs, amendments, SOWs, and various privacy and data security schedules.
• Be accountable for agreement terms and determine when it is necessary to escalate issues to internal support resources, such as lawyers within the Stock Plans legal coverage team.
• Provide support to management and advise the business unit on issues related to contract terms, interpretation, and negotiation.
• Identify and work to minimize legal and compliance risks to Morgan Stanley.
• Manage a diverse portfolio of active contract files and maintain well-organized electronic records in a contract management system.
• Work with colleagues to continuously improve contract templates and processes, as well as implementation and adherence to best practices.
• Develop and maintain trustworthy and productive working relationships with all stakeholders, including our customers.
Qualifications:
• A minimum of five years relevant experience
• Proven experience with complex commercial and technology contracts, as well as familiarity with SaaS offerings, online legal terms, financial services, IP law, and privacy regulations
• Four-year college degree
• In-house legal experience is considered a plus
• Excellent contract negotiation and drafting skills
• Candidates should have experience in managing multiple projects and deadlines and must be able to work both in group settings and independently
• Candidates must be able to communicate effectively, both in writing and over the phone, with sales and account management teams, as well as with customers. This position plays a key role in the sales process and requires excellent judgement, negotiation, and inter-personal skills
• Demonstrated ability to quickly digest complex information and make good, informed decisions
