Private Equity Attorney – Fund Formation09/21/2024Compensation: 225000. / AnnuallyOur client, a prestigious law firm, has an immediate need for an experienced Fund Formation / Private Equity Associate Attorney to join their winning team in Boston. Our candidate of choice will bring at least three years of experience in fund formation for private equity and venture capital sponsors and their investors.
KEY RESPONSIBILITIES: Manage fund formation engagements, including drafting and negotiating limited partnership agreements, subscription agreements, and side letter agreements.Conduct legal reviews and assist in the completion of private placement memoranda.Draft and negotiate general partner and management company arrangements.Address regulatory compliance matters for private equity and venture capital firms.Prepare and review all documents and processes relevant to fund formation transactions.KEY REQUIREMENTS: Minimum of three years of experience in fund formation for private equity and venture capital.Strong knowledge of the Securities Act, the Investment Company Act, and the Investment Advisers Act as they pertain to private equity and venture capital funds.Self-starter with excellent professional judgment and a strong work ethic.Highly motivated to provide exceptional client service.Commitment to personal and professional growth in a collaborative environment.Large firm experience is strongly preferred.Please apply today to be immediately considered for the role!
