JOB SUMMARY
The Senior Corporate Counsel is a memberof Seadrill's Legal and Compliance team providing effective,commercially-oriented support to the company on a wide variety of legalissues affecting our corporate structures and transactions, joint ventures,financing arrangements, and other commercial and operational issues.
JOB SPECIFICRESPONSIBILITIES Assist with review and coordination of securities filings,including annual proxy statements, registration statements, beneficialownership reports, and annual, quarterly and current reports, and ensurecompliance with SEC and NYSE rules and regulations.
Assist with conduct of annual and special meetings ofshareholders Provide legal support on investor relations and communicationsmatters, including review of earnings announcements, earnings scripts, pressreleases, investor presentations, investor communications, internalcommunications, and other materials.
Assist with management and preparation of board and committeematerials, including drafting of minutes, resolutions, presentations,assistance with agendas and other materials.
Preparation and maintenance of corporate governancedocumentation, including committee charters, related-party transactionspolicy, insider trading policy, etc., and help implement such policies,procedures and training programs, as needed.
Assist with group subsidiary and branch management, and jointventures.
Provide support for the finance organization on and with: external financing arrangements (revolving credit facility and debtindenture) and support ancillary documentation related to such agreements intercompany arrangements, including internal reorganisation andrestructuring work.
Providelegal advice on corporate and other transactional work including mergers,acquisitions, divestitures, joint ventures and rig sales and purchases: Lead and conduct due diligence efforts; Negotiate and draft various documents such asnon-disclosure agreements and LOIs/MOUs Manage and execute the steps and processes to closetransactions; Coordinate discussions and decision-making processesinvolving other legal functional teams (e.g., employment,intellectual property and real estate), the business developmentteam, integration teams, and business function teams (e.g.,information technology, procurement and tax).
Managing(with outside counsel) corporate litigation and disputes from time totime.
Liaisingwith external counsel in a timely and cost-conscious manner to resolveissues.

Desired Experience within the upstream oil and gasor shipping industries is preferred but not essential Experience with an international corporatestructure; and Experience with publicly listed companies EDUCATION ANDQUALIFICATIONS MinimumRequirements Qualified lawyer admitted to practice inthe US or a common law jurisdiction.
