Position: Tax & Benefits Attorney (Principal)

Direct Counsel is seeking a Tax & Benefits Attorney with extensive experience in corporate and transactional law to join a leading law firm's Tax & Benefits practice. This role offers the opportunity to work on complex business matters, including mergers, reorganizations, acquisitions, and other high-stakes transactions, as well as the development, implementation, and regulation of ESOPs and ERISA-governed plans.
Key Responsibilities Lead and coordinate complex transactional projects Advise clients on mergers, acquisitions, reorganizations, and other corporate transactions Collaborate within a firmwide client service team to deliver comprehensive solutions Provide guidance on ESOP and ERISA matters (prior ESOP experience is a plus) Qualifications JD from an accredited law school 10+ years of experience as a corporate/transactional attorney in a law firm setting Proven track record of managing significant deals and complex transactions Sound business judgment, strategic thinking, and strong communication skills ESOP experience or Tax LL.M. preferred but not required Portable business is a plus Compensation & Benefits Salary Range: $180,000 - $300,000 annually (dependent on experience and qualifications) Comprehensive benefits package, including medical, dental, vision, 401(k) with employer contributions, disability and life insurance, commuter allowance, parental leave, billable credit hours for DEI and pro bono work, annual bonus, and more.
