Job BriefAt Advisor360, the VP, General Counsel reports to the COO, combining legal leadership with strategic insight. You'll play a pivotal role in guiding the company through complex legal landscapes, supporting everything from corporate governance to employee relations and contract law. Here's What You'll Do:Providing advice on general corporate law matters, including corporate finance, accounting, tax, treasury, investor relations, corporate communications, and stock plan administration. Maintaining the company's corporate governance guidelines, committee charters, and assist in the preparation of the Board presentation materials.Assisting with M&A, corporate transactions, debt restructuring, and intercompany agreements. Collaborating with corporate strategy team to create term sheets, support due diligence efforts, actively manage deal processes and execution, and providing post-closing acquisition and integration.Assisting with executive compensation matters, stock plan administration, equity incentive plan, corporate bonus plans.Support the overall product strategy, development, launch, and go-to-market motions focusing on managing legal and compliance requirements, including AI, privacy, data governance, security, and third-party technology integrations.Apply critical legal analyses to a myriad of complex legal matters, such as software development in the age of AI, technology licensing, international expansion, M&A integrations, and policy issues.Work collaboratively and cross-functionally with leaders across the broader Legal, Security, & Policy organization to develop, drive, and implement critical initiatives.Oversee the management of our intellectual property portfolio, including engagement with our R&D activities to ensure a healthy and protected innovation pipeline.Oversee and manage our corporate insurance portfolio and policies.Offer legal guidance on employment matters, including drafting and negotiating employment contracts, and related documentation.Provide strategic legal guidance and support in crisis and reputation management situations.Oversee and manage litigations, where needed.Lead and grow a lean, high-performing team.Oversee external legal counsel, optimizing their efficiency and quality of work.Proactively address operational issues and collaborate with team members to tackle problems quickly and thoughtfully.Manage annual planning activities, translating organizational goals and objectives into initiatives, timelines, and plans.Oversee immigration matters, including visa processes and employment authorization, ensuring legal compliance for international hires.What You Bring to the Table:JD/Law degree with 15+ years of commercial and corporate experience, with at least 5 years in a leadership role in-house in a high-growth technology company.3+ years of firm experience preferred.Significant experience supporting software product development (preferably SaaS), e-commerce, marketing, and consumer protection matters across many jurisdictions around the world.Proven ability to lead and manage complex legal matters and communicate effectively with senior leadership.Able to succinctly frame complex legal issues and communicate effectively with multiple levels of management (including senior executives), including in support of product development and innovation.Track record of success in negotiating contracts, M&A, and offering strategic legal guidance in high-growth technology environments.Strong understanding of employment law, immigration law, privacy, data protection issues, across global authorities.Expert at negotiating and drafting all types of technology licensing agreements, including in-bound licenses, outbound licenses, online services agreements, and terms of use for online services.
