Role Overview
We are seeking a dynamic and experienced Associate General Counsel to join our in-house legal team.
This role will provide legal guidance on a variety of matters, including commercial contracts, privacy, product development and compliance.
This role will be responsible for proactively providing practical legal advice that balances risk mitigation and commercial objectives, enabling the company to achieve its growth and innovation goals.
The ideal candidate will have Big Law experience, preferably in a tech transactions team, a background in the healthcare or employee benefits industry and be adept at navigating complex legal and regulatory environments.
Responsibilities: Assist the General Counsel in overseeing the legal aspects of our business.
Provide strategic legal guidance on commercial contracts, regulatory matters, and risk mitigation strategies, with a strong emphasis on privacy and HIPAA regulations.
Draft, review, and negotiate complex commercial agreements, including SaaS agreements, licensing agreements, vendor agreements, partnerships, and other commercial transactions.
Ensure compliance with applicable laws and regulations, particularly in the areas of healthcare, data privacy (e.g., HIPAA, CCPA), and licensing requirements.
Collaborate closely with Sales, Customer Success, Product, and Regulatory teams to align legal strategies with business objectives and drive growth initiatives.
Stay up-to-date with legal developments, industry trends, and best practices related to commercial contracting, healthcare, privacy laws, and insurance regulations.
Provide training and guidance to non-legal staff on contract management processes, policies, and best practices.
Lead or participate in projects to improve internal processes and increase the efficiency and scalability of commercial legal support.
Demonstrate creative problem-solving abilities to navigate ambiguity and develop innovative solutions to complex legal and regulatory challenges in a rapidly evolving industry.
Qualifications: Juris Doctor (J.D.)
degree from an accredited law school and membership in good standing with the state bar.
Minimum of 5 years of experience at a reputable law firm (Big Law experience and tech transactions preferred).
The ideal candidate would have an additional 1-3 years of in-house experience, ideally in the employee benefits sector.
Expertise in drafting, reviewing, and negotiating technology-related contracts, with a focus on SaaS agreements.
Strong knowledge and understanding of privacy and data security issues, with experience navigating HIPAA strongly preferred.
Exceptional drafting, negotiation, and analytical skills, capable of understanding and advising on complex legal, regulatory, and business issues.
Proven track record of working in a dynamic environment, managing multiple priorities, and adapting to changing business needs.
Collaborative, solutions-oriented mindset, with a consultative approach and a strong sense of ownership.
Excellent judgment and decision-making abilities to navigate ambiguity and develop creative solutions to complex challenges.
The salary range for New York based candidates for this role is $150,000-$200,000.
We use a location factor to adjust this range for candidates that are located outside of geographic region of our New York office.
Placement within the salary band is determined based on experience.
