Reporting to the General Counsel, the Associate General Counsel will work closely with Maesa's executive and senior management teams on high priority strategic matters to support the company's continued growth.
The Associate General Counsel will provide broad-based legal support for strategic initiatives including M&A transactions, strategic investments, joint ventures, and other significant transactions across the company.
They will lead execution, document negotiation, legal due diligence, and other aspects of deals.
In addition, this role serves as a valued partner in supporting ongoing business operations and day-to-day legal advice.
The Associate must possess outstanding legal and business acumen, be a team player willing to roll up their sleeves, possess strong interpersonal skills, initiative, and proven leadership experience.
The ideal candidate is an individual who can work independently, but also collaboratively in cross-functional teams, in a fast-paced environment and can prioritize and manage multiple projects and teams across a variety of legal areas.
Responsibilities
Support General Counsel with respect to the overall legal, corporate, and compliance functions.
Partner closely with senior management to support the legal and business needs of the organization and further the mission of the organization and its customer.
Provide legal support on acquisitions, joint ventures, and other strategic transactions and investments, including conducting due diligence and negotiating and drafting transaction documents.
Draft and negotiate manufacturing agreements, purchase agreements, non-disclosure agreements, letters of intent, term sheets, financial and legal advisors' engagement letters, merger/share or asset purchase agreements, and shareholder agreements.
Advise on strategy risk assessment and mitigation.
Assist with compliance matters.
Qualifications
Minimum Years of Experience: 10+ years of M&A and general corporate legal experience, preferably at both a law firm and a multi-national company (consumer products or e-commerce is a plus).
Demonstrated M&A and related transactional experience and project leadership and management required.
Demonstrated ability to lead and develop a high-performing legal team.
Must demonstrate a high degree of time management and organizational skills resulting in the ability to prioritize/manage multiple projects at various stages of delivery.
Experience working in international markets is a plus.
Must exercise good legal and business judgment while working to identify, develop, draft, negotiate and implement proactive and creative business-oriented solutions.
Must have presence, credibility, and agility to interact and influence colleagues and transaction participants across functional skillsets and seniority levels.
Demonstrate a proactive, collaborative, time-sensitive, results-driven approach while embodying Maesa's values.
What We Offer
$225,000/yr - $300,000/yr.
Exact compensation may vary based on skills, experience, and location.
This position is eligible for participation in a discretionary bonus plan based on individual and company performance.
The role is based in NYC.
