Commercial Transactions Attorney TEL is seeking a talented attorney with commercial and transactional experience to join our legal team.
This is a unique role in the vibrant semiconductor industry because of the opportunities this candidate will have for close business advisory activities.
The candidate will support TEL's semiconductor equipment manufacturing operations in Chaska, MN as well as complex engagements with industry partners and universities based on work done by our research teams around the U.S In addition, if the candidate has venture capital / financing experience they will also work on deals driven out of our Silicon Valley office.
This role with report to the Director of Legal.
Expected Tasks and Responsibilities: Provide strategic advice and guidance to leadership and internal stakeholders regarding legal issues and risks relevant to TEL's US business activities Draft, review, and negotiate a wide range of complex agreements for transactions involving intellectual property and technology, research and development, and joint development and joint ventures with key global customers, suppliers and manufacturing partners Draft and negotiate investment documents for TEL Venture Capital Conduct due diligence on investment targets and provide diligence guidance regarding project acquisition and financings Required Qualifications Licensed to practice law and in good standing (any state) 3-5 years of experience as a commercial transactional attorney Desired Qualifications: Experience with drafting and negotiating technology contracts with intellectual property terms and conditions in the semiconductor space.
In-house experience at a global technology company; or technology transactional and IP experience at an AMLaw 100 firm.
Specific experience in the semiconductor industry or related industries is a plus Excellent written and verbal communication skills, including the ability to make complex concepts conversational.
Comfortable developing original and innovative solutions.
Team player who can operate across different cultures, time zones, and environments.
Able to foster collaborative decision making.
TEL operates under a flexible hybrid work schedule.
The Commercial Transactions Attorney will be expected to work from the office an average of 3 days per week, with the exact schedule varying depending on the week and business needs.
Required reporting location: 3455 Lyman Boulevard, Chaska, MN 55318-3052.
Anticipated travel for this role is 10-15%.
Benefits: Salary range to be defined in collaboration with US compensation team.
Individual pay is determined based on multiple factors, including but not limited to location, experience, skills, job-related knowledge, relevant education, certifications, and/or training.
In addition to base salary, we offer a comprehensive benefits package and for certain roles eligibility in our bonus plan and long-term incentives as applicable.
