As they continue to expand and enhance their operations, they are in search of a dedicated Corporate Counsel to join their legal department, reporting directly to the Associate Vice President & Deputy General Counsel. This role involves working collaboratively across various organizational levels to provide legal guidance, both independently and with other legal team members and external counsel. Employee-only stock purchase plan Professional mentoring and development programs Opportunities for continuing education Employee referral incentives Community service and industry association involvement opportunities Focus: Draft, review, and negotiate various contracts, including construction subcontractor agreements, professional services contracts, supplier agreements, design and consulting contracts, joint venture and teaming agreements, NDAs, and other commercial agreements. Assess Requests for Proposals (RFPs) and Requests for Qualifications (RFQs) for unfavorable terms. Offer guidance on corporate compliance, internal policies, practices, and regulatory requirements. Provide legal advice on potential risks associated with construction and design projects. Represent the company at regulatory hearings and proceedings. Analyze and interpret laws, regulations, and industry standards that may affect company operations. Deliver prompt and effective legal support to various business units. Perform additional in-house legal services relevant to the construction and design sectors. Skill Set: 3-7 years of legal experience, with a focus on commercial transactions, risk management, and compliance, ideally within the construction, design, or public sector industries. Active bar admission in New York State. Proven ability to draft and review contracts, conduct transactional due diligence, and handle MBE/WBE compliance. Excellent written and verbal communication skills, with a strong attention to detail. Outstanding research, interpretative, and analytical capabilities. Demonstrated leadership and organizational skills. Broad experience handling diverse legal issues. Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) or similar software. A team-oriented mindset with the ability to work independently and within cross-functional teams. A practical, innovative, and proactive approach to problem-solving. Strong business acumen and decision-making skills. High responsiveness and ability to manage shifting priorities. Extensive experience with corporate transactions.
