What you'll be doing...Verizon is looking for an experienced attorney to join the Corporate Governance team in Basking Ridge, NJ or New York City, NY.
The attorney in this role will advise the Company, senior management and the Board of Directors on corporate governance and public company matters.
Monitoring and ensuring Verizon's compliance with governance-related requirements under Delaware law, SEC rules and regulations, and NYSE and Nasdaq listing standards.
Assisting with matters related to meetings of the Board of Directors and Board Committees, including preparation of meeting materials, resolutions, minutes and relevant research.
Assisting with drafting Proxy Statement and related materials for Verizon's annual meeting of shareholders and handle shareholder proposals and SEC No-Action letter requests.
Preparing and reviewing SEC filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 Filings (Forms 3/4/5) and others.
Providing advice and counsel regarding subsidiary management and corporate recordkeeping.
Assisting with development of Verizon's corporate governance policies and related stakeholder advocacy, including preparation for meetings with Verizon's top institutional investors during annual shareholder engagement.
Advising on relevant corporate governance, investor relations, insider trading and other public company policies and processes.
Monitoring corporate governance trends, regulatory and legislative initiatives for impacts on Verizon.
What we're looking for...You'll need to have:J.D.
degree and six or more years of corporate, capital markets or public company advisory experience at a top law firm.
Bar membership in good standing in at least one state.
Strong knowledge of federal securities laws and stock exchange listing rules.
Even better if you have one or more of the following:Excellent legal and business judgment.
Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences.
Excellent skills and ability to build and maintain relationships within a large organization.
Proven ability to prioritize multiple responsibilities and process a large volume of work in a timely manner with attention to detail.

If you are hired into a California, Colorado, Connecticut, Hawaii, Maryland, Nevada, New York, Rhode Island, Washington or Washington, D.C. work location, the compensation range for this position is between $165,000.00 and $306,000.00 annually based on a full-time schedule.
The salary will vary depending on your location and confirmed job-related skills and experience.
This is an incentive based position with the potential to earn more.
For part time roles, your compensation will be adjusted to reflect your hours.
