Position Overview
Reporting to the General Counsel, this is a key leadership role which represents the Company in all legal and regulatory matters.
Advises and consults with field leaders and other departments on various legal issues and educates internal clients on proactive measures and approaches to reducing potential legal exposure.
KEY FACTORS FOR SUCCESS: Reporting to the General Counsel & Corporate Secretary, the Deputy General Counsel & Assistant Corporate Secretary will provide support in a number of areas, including, without limitation, corporate securities and corporate governance, transactional matters, regulatory issues, and employment and litigation matters Have primary responsibility for all commercial contracts Advise on compliance matters under SEC rules and regulations and other corporate governance rules and regulations Review and/or prepare all SEC filings, including proxy statement Advise on disclosure matters, including press releases, earnings materials, investor presentations and other external communications Assist with corporate secretarial functions, including preparation and review of Board and Committee materials, coordination of Board and Committee meetings and presentations to the Company's Board of Directors Prepare and periodically update corporate governance and related policies Manage preparation of annual IMPACT Report Assist with planning and executing the Company's Annual Meeting of Stockholders Strategically collaborate with and manage external counsel Other corporate transactional matters for the Company Help build a Legal Department Skills We Are SeekingAreas of specialization include corporate law EDUCATION AND EXPERIENCE: Juris Doctor Licensed to practice law 10+ years of experience practicing corporate law Perks: Competitive Compensation Medical, Dental, and Vision Plans Voluntary Insurance Plans Paid Time Off, Paid Holidays 401k with Company Match Tuition Reimbursement Associate Referral Program Opportunities for Advancement Paid Military Leave Benefits Associate Resource Groups Paid Training and Business Certifications Available Free Counseling Services/Employee Assistance Program Company-paid Life Insurance, Short-Term Disability, Long-Term Disability Associate Product Discount Program Flexible Spending Accounts And More!
