Overview:
This position is responsible for reviewing, drafting and revising various legal agreements.
This position will also provide general legal advice with respect to the conduct of a major financial institutions operations.
Responsibilities:
Includes but are not limited to: Legal Review Research, review, draft and/or revise (as applicable) various legal agreements, including but not limited to, vendor service agreements, syndicated and bilateral loan agreements, troubled loan work-out documentation, IBOR transactions amendments (including interest rate transition documents), bank products documents (including depository and L/C agreements), new and existing bank products review of commercial and regulatory requirements, asset acquisition and disposition agreements and amendments to such agreements.
Legal Advisory Provide general legal advice with respect to the conduct of a major financial institutions operations, including, but not limited to, the assessment and mitigation generally of the legal risks that may arise in the conduct of its operations, its compliance with applicable laws and regulations, and data protection, information security and confidentiality obligations and requirements; development of legal office templates and checklists for recurring matters.
Staff, Outside Counsel Management and Governance Conduct supervision and training of junior colleagues; review outside counsels document reviews, legal opinions and performance with outside counsel to present legal advice; provide internal second opinion for suitability or another level of review with respect to outside counsels opinion when needed; review and draft the banks policies, procedure, or other program.
Qualifications:
JD degree is required Minimum 10 years of experience in legal analysis and contract review is required Knowledge of corporate and commercial finance, technology law, commercial law, corporate governance, real estate transactions and legal and finance operations are required
Licensed Attorney in the State of New York
Pay Range
Actual salary is commensurate with candidates relevant years of experience, skillset, education and other qualifications.
