Job Description Your Team:
You will be an attorney on Invesco's Americas Legal Team and a member of the Investments and Private Markets team within Americas Legal.
Your Role:
We are seeking an experienced leveraged finance attorney to join our legal team.
In this role, you will work with members of Invesco's broadly syndicated bank debt, stressed, distressed and special situations credit and private credit investment teams to provide advisory, negotiation, drafting and restructuring support.
In this role, you will closely collaborate with investment professionals to support the firm's leveraged loan and other credit investments throughout their lifecycle.
You will report to the Associate General Counsel - Investments and Private Markets.
You Will Be Responsible For: Partnering with Invesco's broadly syndicated bank debt, stressed, distressed and special situations credit and private credit investment teams to provide investment level legal support.
Reviewing credit agreements, indentures and other leveraged lending transaction documents to assist investment professionals with investment due diligence and strategy.
Supporting and advising the investment teams' investment committees.
Providing restructuring support on stressed and distressed investments, including review, negotiation and drafting of cooperation agreements, transaction support agreements and other lender-side restructuring documents.
Counseling investment professionals on U.S. bankruptcy law matters in connection with in-court borrower restructurings.
Providing post-restructuring legal support for investments, including reviewing and negotiating shareholders agreements, registration rights agreements and other private equity documents.
Coordinating with external legal counsel, financial advisors and investment bankers as necessary.
Staying current on industry trends and developments with respect to credit investing.
The Experience You Bring: Juris Doctor (JD) degree with an active bar membership in relevant jurisdiction(s).
6+ years of experience as an attorney focused on leveraged finance, bankruptcy and restructuring.
Current or previous experience at a national law firm, preferably with a strong lender/investor-side practice.
Current or previous experience at a credit focused alternative investment manager a plus.
Extensive knowledge and experience with leveraged finance transaction documents, including credit agreements, indentures and security documents.
Experience with investments in post-restructured companies, including expertise in shareholders agreements, registration rights agreements and other private equity documents.
Corporate restructuring experience, including knowledge of the U.S. bankruptcy code and expertise in the negotiation and drafting of cooperation agreements, transaction support agreements and other lender-side restructuring documents.
Familiarity and experience with bankruptcy and liability management exercise related litigation preferred.
Ability to counsel investment professionals as a thought partner, with an emphasis on expeditiously providing practical and actionable legal advice.
Experience providing strategic advice to senior investment professionals, including identifying and mitigating potential legal and execution risks.
High degree of personal and professional integrity.
Excellent drafting, negotiation and communication skills.
Strong collaborative working style.
The total compensation offered for this position in New York City, which includes salary and incentive pay, is $350 - $400k.
The compensation will vary based on skills, experience and location.
