Senior Legal Analyst (New York, NY): Our client, a prestigious asset management and advisory firm in NYC, seeks a Senior Legal Analyst to join their Legal Team.
The role would serve as Chief of Staff to the firms General Counsel which and help manage day-to-day operations, and leading both short- and long-term projects.
The Senior Legal Analyst will also oversee two Legal Analysts on the team, working across the firm's investment banking and principal investment divisions.
Responsibilities: Organize documentation for Investor activity across various funds including transfers, initial subscriptions and co-investment processes.
Work with fund administrators and internal fund accounting teams for such updates as needed.Maintain legal entity files and manage entity formation/dissolution process, including updated internal structure charts and updating internal operations team membersTracking terms and obligations of various legal agreements including engagement letters, NDAs and vendor agreementsComplete various questionnaires or KYC as requested by Investors or service providersManage legal reporting deadlines for growth and venture funds including drafting notices and finalizing communications to InvestorsAssist with the preparation of certain regulatory or legal filings and reviews as requiredEnsure marketing materials across the firm are reviewed by legal/compliance and that approvals are logged accordinglyCoordinate share certificate deposit process with portfolio companies and relevant custodianTrack all corporate actions across investment funds, maintain legal files, coordinate final documents with outside counsel or portfolio companies and log all activityManage reporting and tracking of various other items such as LEI maintenance; director compensation/section 16 matters; litigation matters involving the firm, advisory clients or portfolio companies; conflicts check procedures; ESG diligence and ongoing review of portfolio companies; etc Requirements: 4-year degree from an accredited educational institution3+ years of paralegal experience at a law firm and/or asset management firm is preferredHigh attention to detail and strong organizational skills with the ability to perform multiple functions and assignments from different team members simultaneously in an environment with strict deadlinesMotivation and desire to succeed as demonstrated by school record and work experienceExcellent written and oral communication skillsAbility to work in a team-oriented and constantly changing environmentExperience managing others and/or delegating work is helpful but not requiredProficiency in Microsoft Office products and ability to adapt to new systemsPro-active, Problem Solver, hard working
